Principles

The rules come first.

Energinko keeps a short set of rules that do not bend to opportunity. They are written into the design, enforced by the platform, and to be written into the constitution of the programme’s holding.

01Status

Energinko is not a bank.

Today Energinko is a programme, and an evidence-services and physical-origination effort. It holds no banking or other financial licence. It takes no deposits. It offers no securities and no investment. It issues no currency and no token. It manages no one’s money.

“The Energy Bank” is the programme’s name, and the name of the founder’s vision. It is not the name of an institution. No entity in the programme carries the word “bank” in its legal name.

The founder’s first designs named three banks: one for investment, one for trade and one for reserves. In the programme they became functions: the arranging function, the Trade House and Reserve Custody. Each is a gated plan. Each needs licences from competent authorities and the acts of others, and none exists until its gate has opened.

A banking licence can be granted only by a jurisdiction’s banking supervisor. Energinko has none and has not applied for one. The path this site describes is designed so that no step depends on the programme holding one; counsel’s perimeter opinion is to confirm this in each seat.

02Red lines

What the programme will not do.

These are settled. They are not phases to revisit when conditions change.

What the programme will not do.No currency or token · No public token · No promised returns · No affiliated rating · No way around sanctions · No opaque ownership · No layered products · No fee from state business
  • No currency or token

The programme issues no currency and declares none. A claim is a registered security, settled in cash.

  • No public token

None at launch and none at any later stage. How a securities depository settles is its own choice, never a product of the programme.

  • No promised returns

No return, yield or payback is promised, fixed or otherwise. Risk is disclosed, not denied.

  • No affiliated rating

No rating function inside the group, and no rating assigned by the programme to anything it arranges. Ratings, when needed, come from independent agencies.

  • No way around sanctions

No structure is designed or described as sitting beyond sanctions. Every party, vessel, cargo and origin must be screened.

  • No opaque ownership

No layered funds that hide who controls what, no nominees and no privacy vehicles. Beneficial owners must be disclosed at every threshold.

  • No layered products

No collateralised debt obligations, credit default swaps or similar layers built on the programme’s claims. No instrument is pledged twice: one lot, one pool.

  • No fee from state business

The desk earns no fee for originating business with a state-owned buyer or seller.

03Evidence rules

Every statement carries its standing.

The programme sorts what it says into four kinds and labels each, so a reader can always tell a fact from a plan.

Two rules follow. No claim at any layer is stronger than the evidence and control at the layer below it. And a reserve is an evidence object and a legal control state, not a marketing number.

  1. 01

    Fact

Verified from a public source or a signed document, and cited.

  2. 02

    Practice

What trading desks, credit committees and compliance officers actually do. A professional judgement, labelled as one, not a fact.

  3. 03

    Design intent

What the programme’s design proposes. A plan, never written as if it already existed.

  4. 04

    Assumption

An illustrative figure or judgement, labelled. Every money figure is an assumption until a quote, a closed trade or an invoice replaces it. This site states none.

04Governance

Independence by constitution.

The bodies that measure, attest and price must not answer to the parties whose claims depend on them. Independence is written into how they are appointed and paid.

Those bodies are to be foundations or trusts with independent trustees. In the design, registry members nominate, with sponsor and programme entities excluded, and a regulator is to approve each appointee as fit and proper. No sponsor or programme entity is to hold an appointment right. Funding is to come from registry fees, under a published budget. None of these bodies exists today.

Until then, inspectors are appointed by the contracting parties, as the market already does. Energinko never owns an inspector, never verifies its own carbon, never rates anything it arranges and never trades on a price before it is published.

Where the state owns the sponsor and oversees the regulator, the programme says so. There, its bodies are to be independent of the sponsor’s commercial arm and of the arranger, not of the state.

Conflicts are to be governed before the first transaction: a founder’s recusal covenant, a clean-team protocol logged by the compliance officer, an independent director and full disclosure. Structural walls, with separate staff, follow at G3.

05Gates

How a gate opens.

A gate is a set of conditions, each signed by someone outside the programme. It opens when the evidence exists, and not before.

How a gate opens.01 Entry condition → 02 Evidence → 03 Decision → 04 Stop rule → 05 Money follows gates0102030405
  1. 01

    Entry condition

Each gate names what must exist and who must sign for it: a title-holder, counsel, an inspector, a regulator or a bank.

  2. 02

    Evidence

The signed documents enter the record before the gate is put to a decision. Progress without its document does not count.

  3. 03

    Decision

A gate passes only on approval by the control functions, risk and compliance. The founder may prepare a gate but can never pass one.

  4. 04

    Stop rule

Each gate carries a stop rule with a time limit, scoped to its proving ground. A separate rule ends the programme’s wider plan if no ground and no desk reaches its threshold in time.

  5. 05

    Money follows gates

Any capital the programme takes is committed against gates and released only at gates, never ahead of them. None is sought from the public. Trading revenue never funds any part of the programme that is to be licensed.

Sunk cost is never a reason to proceed.
